Colgate University Board of Trustees Trustee Executive Committee
Voting Members 35, including president of University; 6 are members of Alumni Corporation Bd.; members are elected by a majority of the Board; requirement for written nominations removed in Jan. 2007 revisions; president of the Univ. may make temporary appointments to Bd of Trustees to fill vacancies chairman of the board, who serves as chairman of the Committee; vice chairman; president of the University and trustees to be nominated by the Nominating Committee in consultation with chairman, vice chairman and president
Terms of Office 3 years with three consecutive terms; must go off Bd for one year before re-elected; chairman may serve an indefinite term at pleasure of Board; Alumni Corp. nominees may serve only two terms one-year term or until a successor is elected 
Optional Non-Voting Advisory Members  at age 70, trustees must retire and may become non-voting trustee emeriti; Bd may confer trustee emeritus status on other trustees who retire from board before age 70 none
Scheduled Meetings at least 4 each year including one with a "period of time set aside to permit memgers of the Colate community to address the Board"; at least 2 mtgs in Hamilton mtgs called by the Secretary whenever requested to do so by the Chair of the Committee
Quorum 13 2, or a majority of members
Accountable to: no formal accountability to any constitutency; issues an annual report to donors Board of Trustees at regular meetings, held four times a year
Responsibilities "manage the business and undertakings of the University"; elects chairman, vice chairman, secretary and treasurer from the trustees "when the Bd is not in session, proposes and may exercise all of the powers of the Trustees; actions subject to review and alteration by Trustees, provided that no rights of third parties shall be affected by such alteration
